TenantShuttle End User Licence Agreement

Copyright (c) 2026 Justin White. All rights reserved.

Version 2026-10-22

This agreement is between you - the person, or the organisation on whose behalf that person accepts it ("you") - and Justin White, the licensor ("we", "us"). It covers TenantShuttle and the companion tools distributed with it (such as Identity review, Duplicate check, Data residency check, Migration planner and Microsoft 365 migration): the command-line programs, any desktop app, the installers and container images, and their documentation and updates (the "Software").

By installing, copying, accessing or using the Software you accept this agreement. If you do not accept it, do not install, access or use the Software. If you accept it for an organisation, you confirm that you are authorised to do so.

IMPORTANT: YOU USE THE SOFTWARE AT YOUR OWN RISK. SECTIONS 3, 4 AND 5 MAKE YOU RESPONSIBLE FOR THE CLOUDS AND SYSTEMS YOU USE IT ON, FOR ANY CHANGE YOU MAKE WITH IT AND FOR THE INFORMATION IT READS, SECTION 9 EXCLUDES ALL WARRANTIES, AND SECTION 10 EXCLUDES OUR LIABILITY. PLEASE READ THEM BEFORE YOU ACCEPT.

1. Licence grant

The Software is provided free of charge, on request. Subject to this agreement, we grant you a non-exclusive, non-transferable, non-sublicensable and revocable licence to install and use the Software, on computers and in environments that you or your organisation control, for any lawful purpose, personal or commercial, including for or on behalf of an employer, a client or another organisation, and to provide services to others. People who use the Software for you must do so under this agreement, and you are responsible for their use.

You may make backup copies of the Software for archival purposes.

We provide the Software at our discretion. We may decline any request for it, and we may change it or stop providing it at any time.

2. Restrictions

Except as this agreement expressly allows, or as applicable law permits despite this restriction, you may not:

(a) copy, distribute, sell, resell, rent, lease, lend, sublicense, publish or otherwise make the Software available to anyone outside your organisation, although you may share the reports and exports it produces;

(b) remove, alter or obscure any copyright, licence or other proprietary notice in the Software;

(c) circumvent, disable or interfere with any of the Software's safeguards, such as its list of permitted operations, its checks of names and plans, or its approval steps;

(d) reverse engineer, decompile or disassemble the Software, except to the extent applicable law expressly permits it, and except as the licences of the third-party components described in section 6 permit for those components;

(e) use the Software on any cloud, tenant, account, directory or system without the authority described in section 3; or

(f) use the Software in breach of any law, or of the terms of any cloud or service provider.

3. Your responsibility for the clouds and systems you use it on

The Software reads clouds, tenants, directories and services through their management interfaces, with the access and credentials you give it, and writes requests for access as scripts for the owner's administrators to review and run. You are responsible for making sure that you have the authority of the owner of every cloud, tenant, account, subscription, directory and system you use the Software on, in writing where the owner is not you, to read it, and to change it where you use a feature that changes it, in the way you use the Software; that the access you ask for and use is what that owner agreed to; and that your use complies with the law, with the terms of the cloud and service providers, and with the policies and agreements that apply to you. We have no control over, and no responsibility for, the clouds and systems you choose to use the Software on.

Using the Software carries risk. Its requests count against the providers' rate limits, can set off security alerts, and can incur charges from the providers, which you or the account's owner must pay. The access scripts it writes grant permissions when they are run: you and the administrators who run them are responsible for reviewing them first and for removing the access when it is no longer needed. You use the Software entirely at your own risk, and you are solely responsible for any effect of your use on any cloud, tenant, account, directory, system, service or data.

The Software is not designed, tested or intended for, and you must not rely on it for, the operation or safety of any system whose failure, or whose incomplete or inaccurate inventory or migration, could lead to death, personal injury, or severe physical, environmental or property damage.

To the fullest extent permitted by law, you will defend, indemnify and hold harmless us and our heirs, successors and assigns against any claim, demand or proceeding, and any loss, liability, damage, fine, penalty, cost or expense (including reasonable legal fees), arising out of or relating to:

(a) your use of the Software, or its use by anyone you allow to use it;

(b) any effect of that use on any cloud, tenant, account, directory, system, service or data, and any charges it incurs;

(c) reliance on the Software's results, plans or estimates by you or by anyone you share them with, such as an employer, a client or a party to a transaction;

(d) use of the Software without the authority described above, or beyond it; or

(e) your breach of law, of a provider's terms or of this agreement.

4. Changes, moves and plans

Some features change systems, or will: carrying out moves and renaming, migrating, synchronising and copying identities, data, mail, settings and resources between clouds and tenants. Changes like these can delete, overwrite, duplicate or expose data, interrupt services, lock people out, and be impossible to undo. You decide what is planned, approved and carried out. Before you carry out any change, you are responsible for reviewing the plan and every notice the Software gives, for having current, tested backups, for testing in a safe environment where you can, and for having a way back.

Plans, mappings, fits, effort and downtime estimates and cost figures are aids to your own judgement: they depend on what the Software could read and on the providers' published information, and they may be incomplete, out of date or wrong.

5. Your data and other people's

The Software runs on your computers. Your projects and everything the Software reads stay on your computers, and wherever you choose to save, export or send them. The Software does not send us what it reads, or how it is used. Features you choose may contact the providers' public endpoints, for example to check whether a proposed name is free, as well as the clouds and services you connect it to.

What the Software reads usually includes the confidential information of the company whose clouds it reads, and personal information about its people, such as directory users and their access. You are responsible for handling it lawfully and as your agreements with that company require, including privacy and data protection laws, confidentiality agreements and the company's instructions, and for keeping your projects, exports, passphrases and keys secure.

If you configure an AI service or provider, the Software sends the questions and the data you choose to send to that service, under your own agreement with its provider. We do not receive that data, and we are not responsible for those services, their availability, their answers or how they handle your data.

6. Third-party components

The Software includes open-source components that are licensed to you under their own licences. Nothing in this agreement limits the rights those licences give you.

7. Ownership

The Software is licensed, not sold. We and our licensors keep all right, title and interest in it, including all intellectual property rights. All rights not expressly granted in this agreement are reserved. Your projects and exports are yours, and we claim no rights in them. If you send us suggestions or feedback, we may use them without obligation to you.

8. Updates and support

We may make updates available and may answer questions, but we are not obliged to provide updates, fixes, support, maintenance or any other service, and we may stop at any time. Any help, answer or suggestion we give is given on the terms of sections 9 and 10. Each version of the Software may come with an updated version of this agreement; the agreement that comes with a version applies to that version.

9. No warranty

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SOFTWARE, ITS RESULTS AND ANY HELP WE GIVE ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OR CONDITION OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTY OR CONDITION OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NON-INFRINGEMENT. YOU ASSUME THE ENTIRE RISK AS TO THEIR QUALITY, RESULTS AND PERFORMANCE.

We do not warrant that the Software will be error-free, secure or uninterrupted, that it will read everything in scope, that it will not affect the clouds and systems it is used on, that any change, move or migration will succeed, or that its reports, findings, plans, mappings, estimates or other results are complete, current or accurate: they depend on what the clouds and services report and allow, and they may be wrong. They are not professional, legal, tax, financial or valuation advice, and you are solely responsible for verifying them before you, or anyone you share them with, rely on them. Where the law does not allow a warranty or condition to be excluded, it is limited to the shortest period and the narrowest scope the law permits.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AND WHATEVER THE LEGAL BASIS OF THE CLAIM, WHETHER CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE OR ANYTHING ELSE:

(a) WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL OR DATA, ANY DAMAGE TO OR DISRUPTION OF ANY CLOUD, TENANT, SYSTEM OR SERVICE, ANY CHARGES FROM A CLOUD OR SERVICE PROVIDER, ANY FAILED OR INCOMPLETE MOVE OR MIGRATION, ANY SECURITY INCIDENT, ANY FINE OR PENALTY, ANY LOSS IN A TRANSACTION, ANY COST OF SUBSTITUTE PRODUCTS OR SERVICES, OR ANY BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THIS AGREEMENT, THE SOFTWARE, ITS RESULTS OR ANY HELP WE GIVE, EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF THEM OR THEY WERE FORESEEABLE; AND

(b) THE SOFTWARE IS PROVIDED FREE OF CHARGE, AND WE HAVE NO LIABILITY TO YOU OF ANY KIND.

These limits apply even if a remedy fails of its essential purpose. They are an essential basis on which we make the Software available free of charge, and each of them is separate and severable from the others.

Nothing in this agreement limits or excludes liability that cannot be limited or excluded by law, such as liability for fraud. Where the law does not allow our liability to be excluded or limited as this section provides, it is excluded or limited to the fullest extent the law permits.

11. Termination

This agreement continues until it is terminated. You may terminate it at any time by uninstalling the Software and deleting your copies of it. We may terminate it at any time and for any reason by notice to you, and it ends at once, without notice, if you breach it. When it ends, you must stop using the Software and delete your copies of it. Your projects and exports remain yours, and section 5 continues to apply to them. Sections 2 to 7 and 9 to 13 survive termination.

12. Governing law

This agreement, and any dispute arising out of or relating to it or the Software, is governed by the laws of the Province of New Brunswick and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. The courts of New Brunswick have exclusive jurisdiction over any such dispute, and you and we submit to them. The United Nations Convention on Contracts for the International Sale of Goods does not apply. If a consumer protection law applies to you, nothing in this agreement takes away any right under it that cannot be waived.

To the fullest extent permitted by law: (a) a claim against us must be started within one (1) year after the events that gave rise to it, or it is permanently barred; and (b) you may bring a claim against us only on your own behalf, and not as a plaintiff or member of any class, collective or representative proceeding, and you waive any right to a trial by jury.

13. General

This agreement is the entire agreement between you and us about the Software. If a provision of this agreement is held to be unenforceable, it is enforced to the maximum extent possible and the rest of the agreement remains in effect. A failure or delay in enforcing a provision is not a waiver of it. You may not assign this agreement without our written consent; we may assign it. You must comply with the export control and sanctions laws that apply to your use of the Software, and you confirm that you are not named on, or owned or controlled by anyone named on, a Canadian sanctions list. We may give you notices under this agreement by email to the address you asked for the Software from, or the address we sent it or your access to; send notices to us by email to [email protected].
